Please read these Terms & Conditions ("Terms") carefully before using the Bookky platform. By registering for an account or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.
"Green Candle Digital Studio" / "we" / "us" — Green Candle Digital Studio ("GCD Studio"), the company that owns and operates the Bookky platform.
"Platform" / "Service" — The Bookky software-as-a-service application, including the admin dashboard, customer booking widget, APIs, and all related features accessible via bookky.gcds.co.uk or any white-labelled deployment.
"Client" / "you" — A business or individual who registers for and uses the admin dashboard to manage appointments.
"End User" — A customer of a Client who books an appointment through the Platform.
"Subscription" — The paid or trial plan under which a Client accesses the Platform.
"Client Data" — All data (staff profiles, services, bookings, customer records) uploaded to or generated within the Platform by a Client or their End Users.
2.1 Green Candle Digital Studio grants you a non-exclusive, non-transferable, revocable licence to access and use the Platform during your Subscription solely for your internal business purposes and in accordance with these Terms.
2.2 The Platform provides tools to manage appointment scheduling, staff availability, and payment collection. Green Candle Digital Studio does not provide the underlying services (haircuts, massages, lessons, etc.) and is not party to any contract between a Client and their End Users.
2.3 We may update, modify, or withdraw features of the Platform at any time. Where a change materially reduces functionality, we will give you at least 30 days' notice by email.
3.1 You must be at least 18 years old and have legal authority to bind your business to these Terms.
3.2 You must provide accurate, complete, and current information during registration and keep it up to date. Green Candle Digital Studio may suspend accounts where information is found to be materially false or misleading.
3.3 You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised access.
3.4 You must not share account credentials with third parties or permit concurrent logins from multiple unaffiliated users on a single account.
4.1 Subscription fees are as set out on our pricing page or as agreed in your order form. Fees are quoted exclusive of VAT unless stated otherwise.
4.2 Subscriptions are billed monthly or annually in advance. Payment is taken automatically via the payment method on file. If payment fails, we will retry up to three times over seven days. Continued failure will result in account suspension.
4.3 In addition to the Subscription fee, Green Candle Digital Studio deducts a platform fee (currently £0.30 per completed booking, subject to change with 30 days' notice) from each payment processed through the Platform via Stripe Connect.
4.4 All fees are non-refundable except as expressly stated in clause 10 (Termination) or as required by applicable consumer protection law.
4.5 We reserve the right to increase Subscription fees on not less than 60 days' written notice. If you do not wish to accept the new fees, you may terminate your Subscription before the new price takes effect.

5.2 You must not use the Platform to advertise or sell services that are illegal, regulated without appropriate authorisation, or that may expose Green Candle Digital Studio to legal or reputational risk.
6.1 Online payments are processed via Stripe. Green Candle Digital Studio acts as a technology intermediary only; it is not a payment service provider and is not responsible for payment processing errors, chargebacks, or Stripe platform outages.
6.2 You (the Client) are responsible for issuing refunds to End Users in accordance with your stated refund policy and applicable consumer law (including the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013 where applicable).
6.3 If an End User successfully disputes a charge (chargeback) with their bank, Stripe's chargeback process governs. Green Candle Digital Studio is not liable for chargeback losses.
7.1 All rights in the Platform (including software, design, trademarks, and documentation) vest in Green Candle Digital Studio or its licensors. These Terms do not transfer any ownership to you.
7.2 You retain all rights in your Client Data. You grant Green Candle Digital Studio a limited, royalty-free licence to host, process, and transmit Client Data solely to the extent necessary to provide the Service.
7.3 You must not reverse-engineer, decompile, copy, or create derivative works from any part of the Platform.

Any breach of this clause entitles Green Candle Digital Studio to suspend or terminate your account with immediate effect and without liability.
9.1 We target 99.5% monthly uptime (excluding scheduled maintenance) but do not guarantee uninterrupted availability. Scheduled maintenance windows will be announced at least 24 hours in advance where possible.
9.2 Support is provided via email at [email protected] during UK business hours (Monday–Friday, 09:00–17:30 GMT/BST, excluding public holidays). Response times are best-efforts and not guaranteed unless a separate SLA is agreed.
10.1 These Terms commence on the date you first register and continue until your Subscription is terminated.
10.2 Termination by you: You may cancel your Subscription at any time via account settings or by emailing us. Cancellation takes effect at the end of your current billing period. No refund is due for the remaining period unless we are in material breach.
10.3 Termination by us: We may terminate your Subscription immediately on written notice if you materially breach these Terms (including non-payment, after the cure period in clause 4.2), become insolvent, or engage in activity that exposes Green Candle Digital Studio to legal risk.
10.4 On termination, your access will cease and we will retain Client Data for 30 days, during which time you may export it. After 30 days, Client Data will be permanently deleted, except where retention is required by law.
11.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

11.3 Subject to clauses 11.1 and 11.2, Green Candle Digital Studio's total aggregate liability to you under or in connection with these Terms shall not exceed the total Subscription fees paid by you to Green Candle Digital Studio in the 12 months immediately preceding the event giving rise to the claim.
11.4 Green Candle Digital Studio is not liable for any failure or delay caused by circumstances outside our reasonable control (force majeure), including third-party infrastructure outages (Supabase, Stripe, Vercel) or internet backbone disruptions.
You agree to indemnify and hold harmless Green Candle Digital Studio and its officers, employees, and contractors from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your negligence or wilful misconduct; (c) any dispute between you and an End User relating to your services or refund policy; or (d) your failure to comply with applicable law.
Each party may receive confidential information of the other ("Confidential Information"). Each party agrees to keep the other's Confidential Information strictly confidential, not to disclose it to third parties without prior written consent, and to use it only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
14.1 Each party will comply with its respective obligations under the UK GDPR and the Data Protection Act 2018.
14.2 With respect to End User personal data processed via the Platform, you act as the data controller and Green Candle Digital Studio acts as a data processor on your behalf. Green Candle Digital Studio will process such data only on your documented instructions and in accordance with our Data Processing Addendum, which is available on request and incorporated into these Terms.
14.3 With respect to your own account data (business owner, staff records), Green Candle Digital Studio acts as an independent data controller. See our Privacy Policy for details.
We may amend these Terms at any time. For material changes, we will give you at least 30 days' notice by email. Your continued use of the Platform after the notice period constitutes acceptance of the revised Terms. If you do not accept the changes, you may terminate your Subscription before they take effect without penalty.
16.1 Entire agreement. These Terms (together with the Privacy Policy and any order form) constitute the entire agreement between the parties regarding the Platform and supersede all prior representations and agreements.
16.2 Severability. If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable. The remaining provisions continue in full force.
16.3 Waiver. Failure by Green Candle Digital Studio to enforce any provision is not a waiver of that right.
16.4 Assignment. You may not assign or transfer any rights under these Terms without our prior written consent. Green Candle Digital Studio may assign these Terms to any successor entity on written notice to you.
16.5 Governing law & jurisdiction. These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
